"The Most Beautiful Book"—Agreement of "The World Award-winning
Books of Graphic Design" Exhibition

甲方：莞城图书馆 乙方：
Party A: Guan Cheng Library Party B:
经商议，莞城图书馆与 歌德学院（香港分院） 拟定在 2001 年的 7 月 26 日至 10 月 10 日间共同于莞城图书馆举办“ ‘最美的书’——世界书籍装帧设计获奖作品 展”。就此项展览的相关事宜达成如下协议:
Through the friendly negotiation of both parties, Guan Chen Library (hereinafter referred to as Party A) and Goethe Institute(Hongkong Branch)(hereinafter referred to as Party B) agree to hold the exhibition of "The Most Beautiful Book—The World Award-winning
books of graphic design". In order to make the right and obligation of both parties clear, conclude this agreement specially.

一、展览时间：2001年7月26日至2001年10月10日
Article 1:Time of The Exhibition:26th July --10th Oct,2001
二、展览地点：莞城图书馆
Article 2: Exhibition Place: Guan Cheng Library
三、开幕时间：
Article 3:Time of the Opening Ceremony
四、主办单位：莞城图书馆、歌德学院香港分院
Article 4:Sponsor:Guan Cheng Library and Goethe Institute(Hongkong Branch)

五、双方责任与义务：
Article 5:Responsibility and Obligation
甲方：
Party A:1.负责展览期间的展品安全保障工作；
1.Preside over the security of the works during the exhibition
2.依据展览主题、展品质材与数量，提供展览场地（ 三楼及四楼 ）及所需的展览设施；布展事项由甲方负责；
2.Provide exhibition ground(floor 3 and floor 4) and facilities as per the exhibition; to arrange exhibits;
3.负责展览的广告、请柬、宣传单张或宣传小册子设计、制作，以及展览的宣传工作；
3.Design and make the advertisement, invitation cards, brochure, and to publicize the exhibition;
4.负责展览开幕组织工作，提供开幕当天乙方宴请的嘉宾 桌；
4.Arrange the opening ceremony, and to entertain the distinguished guests__
5.负责乙方布展、撤展期间共 天的食住费用。
5.Foot the bill made by Party B during the exhibition time.
乙方：
Party B:
1.负责在展览前一个月向甲方提供完整的展览相关图片及文字资料；
1.Provide relevant pictures and information to Party A one month ago before the exhibition starts;
2.乙方在本次展览中提供的展品包括“德国最美的书”合 138 本；书椅 张;
2.Provide the books of”The most beautiful book in Germany” of total 138 pieces; desks of total__;
3.需要运输的展品须在 年 月 日前（含 日）准备到位，并配合甲方提供报关等相关资料；
3.Make the exhibits which needed to be transported on the scene before--,--,--(including--)
4.协议签订后，如果乙方因故不能举办或推迟展览，应在原定展览开幕时间 45 天前以书面形式通知甲方；如果未以书面形式通知甲方，所产生的一切损失由乙方承担。
4.If party B will not hold or has to delay the exhibition, it should inform Party A 45 days before the opening ceremony by written;If delinquent partiy do not inform party A by written, the losing caused by this will all be undertook by Party B.

六、其他事项：
Article 6. Others:
1.展览作品在展览期间如发生毁损或遗失，经双方协商酌情赔偿；展览不得单方要求提前结束，展期变动须经双方协商。
1.If the exhibits be damaged or get lost during the exhibition time, compensation should be made only after negotiation of both parties;Either of the party should not end the exhibition ahead of the time,and only after the negotiation should the time of the exhhibition be changed.
2.展览本协议对双方具有等同的约束力。在协议有效期内，双方保证严格按本协议约定履行。
Both parties are restricted by this agreement,and should execute it during the valid period.
3.如果由于水灾、火灾、地震、雪暴、旱灾、冰雹、飓风或台风、瘟疫及其他签约时不能预见、并且对其发生的后果不能防止或不可避免的不可抗力事故，致使合同不能履行或者不能按时履行时，不是任何一方的责任。在此情况下，双方自行承担自己已发生的费用，不得要求对方支付终止合同的赔偿金。
3.If either Party at this agreement experiences an incident out of strength so as to be disable to perform this agreement in whole or in any part of obligation under this agreement, can release its responsibility in the following range. Such as floods, fire, earthquake, snow exploding, drought, ice storm,typhoon,whirlwind,epidemic disease,or other reason that really the impersonal force can be resisted. Either party should not ask for compensation by the other side and should undertake the expenses by itself.
4.如有未尽事项，由双方协商处理，更改或补充本合同必须以书面式进行。
4.Those matters that were not due in the agreement will be issued by both sides and negotiated before they are corresponding to both sides’ privileges. The complement equals to the original one in law and should be made by written.
5.争议解决方式
5. Arbitration
双方如有未尽事宜或在本协议执行过程中如出现争议问题，双方均应本着友好合作的精神协商解决。
While resulting in disagreeing because of this agreement or its relevant further thing, the two parties should consult and solve in a friendly way.

6.生效与合作期限
6. Valid time limit
（一）协议期限：本协议自双方此次合作之日起至双方合作结束之日止。
A. Valid time limit: This agreement is valid during the cooperation time and invalid after the exhibition finishes.
（二）本协议经双方签字、盖章之日起生效。本协议一式二份，甲乙双方各持壹份，具有同等的法律效力。
This agreement will come into force in appointed time after both parties sign. This agreement is in two with the same force of law, and each party holds one.
